Terms and Conditions

These Terms and Conditions ("Terms") govern your company's access to and use of srm.dr-baker.com (the "Portal") as a supplier or an applicant to become a supplier of Dr.Baker. By registering on the Portal or submitting any document or price through it, you agree to these Terms for yourself and for the company you represent. If you do not agree, please do not use the Portal.

1. Who we are

srm.dr-baker.com is operated by: Dr.Baker, an Egyptian limited liability company, Commercial Registry No. 4535 (Gamasa Investment Commercial Registry Office), Unified Registry No. 11090 02000 04535, Tax Registration No. 753-611-961, head office: Al-Sananiya, Old Ras El Bar Road, opposite the power station, Damietta Markaz, Damietta.

The Portal is for registering suppliers and submitting prices for the materials and supplies that Dr.Baker buys, and no product is sold through it.

2. Eligibility and registration

The Portal is for companies and businesses that are lawfully registered and hold a commercial register and a tax card.
You confirm that you are authorised to register and act in the name of the company you represent.
You must provide accurate, complete and valid data and documents, and update them when they change. We may refuse or cancel a registration if what you provided proves inaccurate.
The finance department reviews your company's documents, and we may ask for samples of materials to be tested by the quality department. Registration does not mean you are approved as a supplier of any material, and does not oblige us to buy from you.

3. Account and sign-in code

We let you into the Portal with a one-time sign-in code that we send to the registered mobile number.
The code is confidential and must not be shared with anyone.
You are responsible for the registered mobile number and for everything done on your company's account through it. Tell us immediately if you lose the number or suspect someone else is using it.

4. Prices and offers

A price or offer you submit through the Portal is an offer from you, and stays "pending" until Dr.Baker accepts it.
Neither your offer nor its acceptance creates any obligation on us to buy. We are obliged to buy, in any quantity, only under a purchase order that we issue to you.
We do not guarantee that we will buy from you, or that any material will be approved or stay approved, and we may accept, reject or ask for changes to any offer.
You confirm that the prices and specifications you submit are accurate and that you are authorised to offer them.

5. Price confidentiality

Your prices and offers are confidential. No other supplier can see them on the Portal, and on our side only Dr.Baker management and the finance department can see them. You must keep confidential any information about our needs and specifications that you see through the Portal.

6. Suspension of access

Dr.Baker may suspend your account, restrict your access to the Portal or cancel your registration at any time, including where you provide inaccurate data or documents, breach these Terms, or are suspected of fraud. This does not affect a purchase order issued to you before then.

7. Intellectual property

The Dr.Baker Supplier Portal name and logo, the website content are owned by Dr.Baker or its licensors and are protected by law. You receive no right in them except as needed to use the website as intended.

8. Acceptable use

You must not misuse the website, including by attempting unauthorised access, uploading unlawful or harmful content, infringing intellectual-property rights, collecting other users' data, or using the website for any unlawful purpose. This also includes submitting inaccurate or forged documents or prices, trying to see another supplier's prices or agreeing prices with another supplier, and sharing the sign-in code with anyone who is not authorised.

9. Limitation of liability

To the maximum extent permitted by Egyptian law, we are not liable for indirect or consequential loss. Nothing in these Terms limits our liability for fraud or gross negligence, or any right you have that cannot lawfully be excluded.

10. Governing law and disputes

These Terms are governed by the laws of the Arab Republic of Egypt, and the competent Egyptian courts have jurisdiction over any dispute arising from them.

11. Changes to these Terms

We may change these Terms from time to time and publish the updated version on this page with its "Last updated" date. Continuing to use the website after a change means you accept it. No change applies to a purchase order issued to you before it was published.
